Nesses cen\u00e1rios, de modo a mitigar riscos societ\u00e1rios que podem prejudicar tanto a atua\u00e7\u00e3o da cl\u00ednica, quanto a atua\u00e7\u00e3o e o relacionamento entre os m\u00e9dicos, \u00e9 comum regular a governan\u00e7a da sociedade em instrumentos societ\u00e1rios pr\u00f3prios. Em raz\u00e3o disso, no primeiro m\u00f3dulo \u2013 Governan\u00e7a e Acordo de S\u00f3cios em Sociedades M\u00e9dicas \u2013 vamos tratar, dentre outros assuntos, das principais estruturas de governan\u00e7a em sociedades m\u00e9dicas, das regras aplic\u00e1veis em caso de vendas das participa\u00e7\u00f5es societ\u00e1rias pelos m\u00e9dicos (entre si ou para terceiros) e do regramento em eventos de falecimento e sucess\u00e3o de m\u00e9dicos que s\u00e3o s\u00f3cios da cl\u00ednica.<\/p><p>Em M&amp;A e Investimento em Sociedades M\u00e9dicas \u2013 abordaremos os principais aspectos jur\u00eddicos decorrentes das transa\u00e7\u00f5es em que investidores ou players do setor de sa\u00fade adquirem cl\u00ednicas m\u00e9dicas. Ser\u00e3o expostas as estruturas dessas transa\u00e7\u00f5es e os documentos que costumam ser assinados para viabilizar as transa\u00e7\u00f5es, delimitando as principais cl\u00e1usulas que constam desses contratos: defini\u00e7\u00e3o de pre\u00e7o e ajuste de pre\u00e7o, obriga\u00e7\u00e3o de indenizar, n\u00e3o concorr\u00eancia e n\u00e3o aliciamento, dentre outras.
